The Licensor grants the Licensee a non-exclusive, non-transferable, perpetual license to use the Licensed Materials within a single organization operating at one physical location, subject to the terms below. This license grants permission to use the Licensed Materials only; it does not transfer ownership of the materials or of any intellectual property rights in them.
At the licensed location, the Licensee may:
The Licensee may not: (a) resell, sublicense, share, transmit or otherwise distribute the digital files; (b) post or upload the files to any public website, shared drive or file-sharing service; (c) sell printed copies as a standalone product for profit; (d) repackage the materials or use them to create competing products (the internal instructional packets in Section 2 are fine); (e) remove or obscure QuietPage branding or claim authorship; or (f) use the materials in the operation of any location other than the licensed site — printed pages sent home with enrolled children under Section 2 are, of course, permitted.
The Licensor retains all right, title, interest and copyright in and to the Licensed Materials; all rights not expressly granted are reserved. The Licensee may state that it uses QuietPage materials, but may not use the Licensor’s trademarks or logos in its own marketing without prior written consent.
This license covers one organization at one physical site. Additional campuses, branches, franchises or district-wide deployments each need their own license — volume and district pricing is available at hello@QuietPage.co. If the organization changes its name or ownership while continuing to operate the same site, this license transfers automatically to the successor. Individual families purchasing for home use do not need this license.
This license takes effect on the Issue Date and continues perpetually unless terminated. The Licensor may terminate this license upon a material breach of its terms. Upon termination, the Licensee shall cease all use of the Licensed Materials and destroy all digital copies in its possession.
Corrected or updated files released by the Licensor for the purchased titles are provided to the Licensee at no additional cost, upon presentation of a valid receipt.
The Licensed Materials are provided “as is,” without warranties of any kind. To the maximum extent permitted by law, the Licensor is not liable for indirect, incidental or consequential damages, and its total liability in connection with this license shall not exceed the License Fee paid. The Licensed Materials are intended for children ages 3–7; the Licensee is solely responsible for the supervision of children during their use.
The License Fee is payable in full at the time of purchase. QuietPage offers a 14-day money-back guarantee: if the license is not right for your center, email hello@quietpage.co within 14 days of purchase and we will refund your payment in full. Because the Licensed Materials are digital and delivered immediately, the Licensee agrees to stop using and to delete all copies of the Licensed Materials upon receiving a refund. After the 14-day period, the License Fee is non-refundable except where a refund is required by applicable law.
This certificate sets out the entire license granted in the Licensed Materials and supersedes any prior representations. The license is non-transferable without the Licensor’s prior written consent, except as provided in Section 5, and is governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. If any provision is held unenforceable, the remaining provisions remain in full effect.
